プロジェクト概要

大手鉄道会社が組成した2つのSPCが保有する物件3棟を同グループの私募REITへ売却する際に、投資家利益保護の観点から売却条件の妥当性を検証し、助言を行うAMとしてアドバイザリーを行いました。

Project Background

We served as an AM for the sale of three properties owned by two SPCs formed by a major railroad company to a private REIT of the same group, to verify and advise on the appropriateness of sale conditions to protect the investor's interests.

GCMの役割

このグループ内ファンド間の売買における、売主側への助言を行うAMとして当社が就任しました。予め期限が決まっていたこともあり、短期間で当案件を理解する必要がありました。また、一般競争入札を行わないという方針に従い、利害関係者への説明や承認取付など、妥当性を担保することもAMとして求められました。
売却先や諸条件の妥当性を充分に検証した上で助言を行い、無事REITの組成を達成しました。

Our Role

Our company was appointed as the AM to advise the seller in the sale/purchase between the funds within the company group. We were required to understand the project in a short period of time because of a fixed deadline. In accordance with the policy of not conducting public bidding, we were also required to ensure the validity of the project by explaining this project to the parties of interest and obtaining approvals.
We provided advice after fully verifying the appropriateness of the various conditions, and successfully completed the sale.
